What Is a Non-Circumvention Agreement?

Also known as: NCND Agreement

A non-circumvention agreement binds one party not to go around the other to deal directly with the sellers, buyers, or funders the other introduced, so the introducer keeps the fee. It is usually signed before sensitive deal details are shared.

A non-circumvention agreement binds one party not to go around the other to deal directly with the sellers, buyers, or funders the other introduced, so the introducer keeps the fee. It is usually signed before sensitive deal details are shared.

Non-Circumvention Agreement explained

It often pairs with a non-disclosure agreement and is signed before sensitive details change hands. The signer agrees, for a set term and territory, not to contact the named sellers, buyers, or lenders directly, not to buy the property themselves, and not to take the deal elsewhere without paying the introducer’s agreed fee. Courts judge these on reasonableness: scope, duration, geography, and whether there is a legitimate interest to protect. An overbroad agreement can be unenforceable, and the usual remedy is a damages claim after the fact.

In wholesaling it appears wherever information is shared before a deal is locked up: a wholesaler sending an address to a joint-venture partner or buyer’s agent, a co-wholesaler bringing a seller lead to a disposition partner, a funder reviewing a deal, a bird dog introducing properties. Once the property is under contract and the assignment is signed, the paper contract protects the wholesaler better than a side agreement does, so the agreement matters most before that point and for relationships that outlast one deal. Internally, teams handle the same issue with confidentiality terms in caller and VA agreements, since callers handle seller names and numbers.

Weak points are easy to spot: no named parties or properties, no fee terms, no governing law, and no proof the information was shared in confidence. Litigating a lost fee can cost more than the fee, so many operators weigh enforcement realistically and lean on relationships and documentation. A non-circumvention agreement is also not a non-compete, which restricts someone’s ability to work in a field. Have an attorney draft or review the form for your state.

Example

A wholesaler gets a seller lead and wants to share the address with a larger team to find a buyer. Before sending it, she has the larger team sign a non-circumvention agreement that bars them from calling the seller or buying the house directly and names her fee if they close. When the larger team’s buyer closes, the fee comes through the settlement statement.

Frequently Asked Questions

Before sharing an address or seller contact with someone who could cut you out, such as a joint-venture partner, co-wholesaler, funder, or bird dog. Once the property is under contract and assigned, the contract itself does most of the protecting.
An NDA keeps information confidential. A non-circumvention agreement goes further by barring the other party from dealing directly with your contacts or deals. Many forms combine the two, often labeled NCND, to cover both risks at once.
It can discourage the attempt and give you a claim if it happens, but it cannot physically prevent contact. A signed contract with the seller, a clear fee agreement, and limited sharing of seller details do more to keep a deal yours.
